Kirkland, Macfarlanes lead Bain’s $1.2bn Vitabiotics buyout

Kirkland and Macfarlanes are advising on Bain’s $1.2 billion acquisition of Vitabiotics, the global supplement group headed by former Dragon’s Den dragon Tej Lalvani.

Kirkland also advised the private equity firm on its recent acquisition of Volkswagen’s marine engine business.

Kirkland and Macfarlanes are steering private equity firm Bain’s acquisition of Vitabiotics, at a reported valuation of $1.2 billion.

The British supplement giant, headed by former Dragon’s Den dragon Tej Lalvani, is known for product lines including Perfectil, Wellman and Wellwoman.

The purchase, led by Bain’s Asia private equity team, covers Vitabiotics’ UK business as well as Meyer Organics in India, and its operations in Africa, including VB Egypt.

The buyout house said it will bring “local market knowledge in India, together with sector expertise, portfolio resources and global capabilities, to support Vitabiotics as it continues to scale its brands, strengthen its international platform and invest in long-term growth within key markets such as MENA and China.”

A Kirkland team led by private equity partner Jacob Traff (London), M&A and PE partner Srinivas Kaushik (New York) and corporate partner James Whybrow (London) advised Bain Capital. Hong Kong finance partner Jacqueline Zheng led on the financing aspects of the deal.

Bain is a longstanding Kirkland client. The US firm also advised Bain on its €7.4 billion buyout of Volkswagen’s marine engine arm agreed in late June.

Macfarlanes acted for IQ-EQ as selling shareholder, fielding a team led by M&A partners Tim Redman and Alice Temkin.

Khaitan & Co acted as co-counsel with Kirkland, advising Bain on the Indian law aspects of the transaction.
