What law firms can learn about talent retention from the merger wave
Law firms pursuing mergers often focus on strategy and financial performance, but uncertainty can also increase talent attrition.

As law firms continue their pursuit of transatlantic growth, frequently through mergers, leaders face a challenge that can’t be solved through scale: keeping hold of their people.
This year will see at least three major transatlantic law firm mergers: Ashurst and Perkins Coie, Taylor Wessing and Winston & Strawn, and Hogan Lovells and Cadwalader.
Collectively, there have been more than 40 partner departures in the past six months from these firms involved in upcoming mergers, 19 of which were in the UK.
Following merger announcements, it’s common to see increased partner attrition - data provider Pirical previously pegged the average at 4%, though some firms exceed that figure. Between the merger announcements and completions, Shearman & Sterling and Bryan Cave - now BCLP - saw 9% and 8% partner attrition according to Pirical.
Though paradoxically, the firms currently undergoing mergers have gained more partners than they have lost, at least in London, according to recruitment firm Edwards Gibson.
This is an atypical pattern as elevated partner attrition is common in the lead up to and following mergers. Following the formation of A&O Shearman, the firm cut 10% of its global partnership, approximately 80 partners, citing overlapping capabilities.
The firm also closed its Johannesburg office and additional partners left on their own accord bringing the total to around 190 partners departing since the merger announcement. The firm reportedly began holding certain partners to longer notice periods as the departures mounted.

Uncertain times
Periods of change naturally create uncertainty. Partners wonder how a merger will affect their practice, associates question what opportunities will exist in the new organisation and competitors begin calling.
James Hacking, chief executive of legal consultancy Kindleworth, said: “The scale and ambition behind these combinations is undeniable, but large mergers inevitably force partners to ask hard questions about where they fit within the new organisation.”
Competitor firms often capitalise on the disruption by presenting as a more stable or attractive landing spot for partners weighing their options.
Eleonora Wäktare, a London-based partner at legal recruiting firm Macrae, said: “Law firm mergers are among the most significant events in the life of a firm.
“For individual partners, they may raise questions such as: Do they agree with the leadership’s chosen strategy? How does the arrival of a large group of new partners affect their practice? How will the new entity be organised, in terms of decision-making and compensation systems? What will the impact be on culture?”
The human side
For Cheryl Donaldson, a leadership adviser who sees clients in the US and London, the current merger wave highlights a familiar challenge.
During mergers, organisations become focused on strategy, financial performance and integration plans, while the human side of change often receives less attention.
Donaldson has spent more than 30 years working with high performers and has close ties to the legal profession coming from a third-generation legal family: her father, husband, brother and son are all lawyers.
As firms navigate mergers, she believes retaining talent comes down to a few core principles.
"I think that three things are really important," she said. "Connection, structure and expectation."
Donaldson believes leaders often underestimate how important regular connection becomes during these moments.
She says firms that stay closely connected to their people are more likely to identify concerns before they turn into departures.
"If they are connected, they are hearing these concerns," she said. “The have a chance to problem-solve how to retain them."
"When they lose that talent, it impacts the whole system," she said.

Creating stability
Connection alone is not enough. Donaldson says that lawyers also need structure during periods of uncertainty. Clear communication around career progression, responsibilities and opportunities can help reduce anxiety about the future.
Leadership teams should be actively discussing how lawyers fit into the merged organisation rather than assuming people will simply wait for answers.
"If you stay here, here are some ways that we can see growth for you," Donaldson said. "Here are some of the ways that we can make this happen for you."
Providing that sense of direction can be particularly important when rival firms are actively targeting talent.
Leading with curiosity
Beyond retention, Donaldson believes culture integration is one of the biggest challenges facing firms pursuing transatlantic combinations.
"The one thing that is really key with US-UK mergers is for both sides to lead with curiosity, and adopt a learner’s attitude,” she said.
The risk, she argues, is that leaders approach mergers assuming their existing way of working is the correct one.
"Sometimes when new leaders come in during a stressful time, they lead with answers and not curiosity," she said.
She notes that it can be particularly difficult for lawyers.
"I don't know if lawyers are always the most curious," Donaldson said. “They have been trained to have answers."
She says that firms often spend significant time focused on strategy, financial performance and integration plans, but can overlook the importance of helping people feel heard and valued throughout the process.
"I think you are going to retain talent when people feel valued," she said. "At the end of the day, that's really the most important thing."
